Version 1, effective from its publication on essentio.pro.
These terms are a contract between CPV Corporate Services Ltd ("Essentio", "we") and the business that uses Essentio ("you"). The person who accepts them confirms they are authorised to bind that business.

Businesses only. Essentio is sold only to businesses, sole traders and professionals, for use in their trade, business or profession. By accepting these terms you confirm that you act for such a business and not as a consumer. Consumer protection rules that apply only to consumers, such as the right to withdraw from a distance contract, therefore do not apply.
How the contract is made. You accept these terms, and the Data Processing Agreement that forms part of them, by ticking the box when you create an account. We confirm by email. A paid plan is added when you subscribe through Stripe Checkout. We keep the version you accepted; you can read and save the current version at essentio.pro/terms at any time. The contract is in English. Between businesses, the pre-contract information and order confirmation rules of Cypriot Law 156(I)/2004 (sections 13 and 14) apply only as far as these terms state.
The Privacy Policy explains how we handle personal data.
Accounts. Each person has their own account and must be 18 or older. Keep your password and API keys secret; you are responsible for what is done with them. Tell us at once at support@essentio.pro if you think someone else has used them. Give us true details and keep them up to date.
Businesses and teams. One account can own or belong to several Businesses. A Business has one Owner, who holds its plan, and can invite others as Admin, Member or Viewer. The Owner is responsible for who is in the team and what they may do. What a team member does in a Business, the Business answers for.
What Essentio does. Essentio lets a Business create, issue, send and keep invoices, proforma invoices, credit notes, quotes and receipts, record payments, and produce reports and exports, including the EU e-invoice format (EN 16931).
What Essentio is not. Essentio is software, not an accountant, tax adviser or payment service. It computes amounts and VAT from what you enter and the rates you choose. You are responsible for:
Recording a payment in Essentio only notes a payment already made; Essentio never moves money.
An Owner holds one plan, and it covers the Businesses they own.

Trial. An Owner's first Business starts with a 30-day Trial of Pro Plus, with no card. Each person, and each VAT number, gets one Trial. When it ends without a Subscription, the rules for an ended plan below apply.
Paying. Paid plans are charged in advance, monthly or yearly, and renew automatically until cancelled. Payment is taken by Stripe; you give your card and billing details to Stripe, not to us. Stripe issues the invoice for each charge. VAT is added as the law requires: an EU business with a valid VAT number confirmed by VIES is charged under the reverse charge; otherwise Cypriot VAT applies, or the VAT of your country where the law requires it. Extra Businesses on Pro Plus are charged from the next renewal.
Failed payments. If a charge fails, everything keeps working while Stripe retries, and we show a banner asking you to update your card. If the retries fail, the plan ends.
When a plan ends. Your data is never deleted for not paying. One Business stays on the Free plan: the one with the most Invoices in the last 90 days, unless you choose another. You can correct the choice once; it is then final until you pay again. Your other Businesses are Paused: you can read everything, record payments on issued documents, change settings and the team, download the Business's archive and delete it, but not issue or create documents, Clients or products. Subscribing again restores every Business, with its team, API keys and Webhooks as they were.
Fair use of the Free plan. Each person may have one free Business, and each VAT number may appear on one free Business. A Business that would break this rule is created Paused, and the reason is shown; if a VAT number is yours and is used by someone else, write to support. A deleted free Business keeps its free place until it is erased, 30 days later. At the Issuing limit, no further Invoice can be issued on the Free plan until the Business's next year begins, counted from the day it was created; drafts, credit notes, proforma invoices, quotes, payments, sending and exports keep working.
Test business. Each person can keep one Test business to try Essentio and its API. It is never charged; its documents are marked SAMPLE, its emails go only to its creator, and it has the Free plan's limits.
Cancelling. An Owner can cancel a Subscription at any time on Stripe's customer page, opened from Billing. It then runs to the end of the period already paid and does not renew. There is no notice period.
Refunds. Payments are not refunded, in whole or in part, for a period already started, except where these terms or the law say otherwise. Deleting your account cancels a Subscription at once, with no refund. If you end the contract because you object to a new sub-processor under the DPA, or because we change these terms to your disadvantage, we refund the unused part of a period you prepaid.
Price changes. We tell Owners by email at least 30 days before a new price applies. It applies from your next renewal after that notice; you can cancel before then. A Partner discount (section 5) stays as it was.
Accountants and bookkeepers can apply to become Partners. We approve or decline an application at our discretion.
Essentio offers a Public API, OAuth connections for other developers' apps, an MCP server for AI assistants, and Webhooks. The Public API and Webhooks need a paid plan; the MCP server works on every plan. The developer documentation at developers.essentio.pro forms part of these terms for anyone using them.
If you connect software to your Business, you choose what it may do by the role you give it, and you are responsible for what it does. Software you connect, including AI assistants, is provided by others under their own terms; we are not responsible for it or for what its provider does with the data it receives. An AI assistant can make mistakes: check what it proposes before it issues or sends a document.
If you build software on Essentio, you must:
Essentio does not review apps that developers register. We may revoke keys, connections or registered apps that break these terms or put Businesses at risk, and we tell the owner of the key or app why.
Webhooks send a Business's invoice and payment events to web addresses it chooses. You are responsible for the addresses you register and for securing them. On the Free plan Webhooks are suspended, not deleted.
You must not use Essentio to:
Reporting illegal content. Anyone can report content stored in Essentio that they believe is illegal, for example a fraudulent invoice sent through our links, by writing to support@essentio.pro. Say where the content is (for example the link), why it is illegal, and who you are, unless the law lets you stay anonymous. We confirm receipt, decide promptly and without bias, and tell you what we decided.
How we act. We read a Business's content only where needed to answer a report, a legal request or a security threat, and with the Owner's Support access otherwise. If content or use breaks these terms or the law, we may remove the content, limit features, or suspend or close the account or Business, proportionately to what happened. We tell the person affected what we did and why, which rule or law it relies on, and how to challenge it, unless the law forbids it or it would defeat the purpose (for example during a fraud investigation). Where information suggests a threat to someone's life or safety, we inform the authorities.
Complaints. You can challenge any such decision by replying to our message or writing to support@essentio.pro within six months. A person who did not take the first decision reviews it and answers you, and we reverse it if it was wrong. You may also use an out-of-court dispute body or the courts.
Points of contact. Authorities and users can reach us about these matters at support@essentio.pro, in English.
Your data is yours. You keep all rights in the data you put into Essentio. You give us only the rights we need to host, process and show it to provide the service, as the DPA describes. We may use anonymous, aggregated figures about how Essentio is used to improve it.
Export at any time. An Owner or Admin can download a Business's full archive at any time, on every plan and while Paused. It holds:

The data formats page describes each file and its columns. The Public API, on paid plans, reads the same data.
Switching to another provider. You may end the contract and move your data at any time, with no notice period and no switching charge. We help you by providing the exports above and answering questions about them. The switch is complete when you have downloaded your data; the contract then ends.
After the contract ends. When you delete a Business, or your account, the data stays retrievable for 30 days: the Owner receives an email with the erasure date and can reply to have the Business restored or to receive its full archive. After 30 days it is erased for good, and it leaves our backups within 8 weeks. Records we must keep by law, such as Stripe's invoices for your plan, are kept as the Privacy Policy says.
Where your data is. Essentio's data is stored in Germany, in the EU, with Hetzner Online GmbH. Our data location page says which providers, in which countries, can reach it, and what we do against access by a foreign government that EU law does not allow: we challenge such requests, disclose only what a valid order requires, and tell you unless the law forbids it.
Personal data. For the data a Business keeps about its Clients and others, the Business is the controller and Essentio its processor. The Data Processing Agreement is an annex to these terms, accepted with them, and governs that processing. Where the DPA and these terms differ on personal data, the DPA wins. For the data we decide how to use, such as your account, the Privacy Policy applies.
You are responsible for having a lawful basis for the data you enter and send, and for telling your Clients how you use it.
Support access. Our staff do not see a Business's Clients, documents or payments. An Owner can give Essentio support read-only access to one Business for 24 hours from its settings, end it early, and see each use. Our staff also see account and plan data needed to run the service, such as which Businesses an Owner has, their plan and usage figures.
Availability. We aim to keep Essentio available and your data safe, and back it up daily, but we do not promise it will never be interrupted, for example for maintenance or because of a provider's failure. We may change, add or remove features. We tell Owners in advance, by email and in Essentio, of any change that removes a feature they pay for, and they may then end the contract with a refund of the unused prepaid period.
Warranties. Essentio is provided as it is. We do not promise that it suits your particular purpose, or that the tax treatment you choose in it is correct for you.
Liability. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything the law does not allow to be limited. Otherwise:
Ending the contract. You can end it at any time by deleting your account (section 8 describes your data afterwards). We can end it with 30 days' notice by email, or at once if you seriously or repeatedly break these terms or the law, with reasons as section 7 says. Sections 4, 8 and 10 survive the end.
Changes to these terms. We tell Owners of a change by email at least 30 days before it applies, and Essentio asks you to accept the new version when you next log in. If you do not accept it, you can end the contract before it applies, with a refund of the unused prepaid period. Changes needed by law, or for security, can apply sooner.
Transfer. We may transfer this contract to a company that takes over Essentio, and tell you. You may not transfer it without our agreement.
Law and courts. These terms are governed by the laws of the Republic of Cyprus. The courts of Nicosia, Cyprus, have exclusive jurisdiction, except where the law gives you the right to go to another court.
